1.Purpose and Scope of Application

1.1. Purpose

These General Terms and Conditions of Sale (hereinafter, “Terms”) govern access, navigation, use, and purchase of products through the website phi-pot.com (hereinafter, the “Website”), owned by EIDOPIA S.L. (hereinafter, “PHI-POT” or the “Seller”).

PHI-POT is a patented modular pot system, designed for indoor and outdoor use, enabling the creation of customizable vertical gardens.

1.2. Acceptance of Terms

Browsing the Website and/or purchasing products implies reading, understanding, and expressly and fully accepting these Terms, without any reservation. The User declares to be of legal age and have the legal capacity to contract.

Attention: The User undertakes to read these Terms carefully before making any purchase. If you do not agree with any of the provisions contained herein, you must refrain from using the Website and/or purchasing the offered products.

1.3. Modification of Terms

PHI-POT reserves the right to unilaterally modify these Terms at any time, without prior notice, provided that the current version is published at least 15 days before its effective date. Purchases made prior to the modification shall be governed by the terms in force at the time of contracting.

1.4. Languages

The Website is available in Spanish, English, German, French, Italian, and Japanese. In case of discrepancy between versions, the text in Spanish shall prevail, in accordance with applicable Spanish legislation.

2.PHI-POT Account – User Account

2.1. Registration

To make purchases, the User may register by creating a personal account (“PHI-POT Account”) providing: first name, last name, complete postal address, valid email address, and phone number. All data must be truthful and kept up to date.

2.2. Account Security

The User is responsible for maintaining the confidentiality of their login credentials. Any activity carried out from their account shall be deemed to have been performed by the User. In case of unauthorized access, they must notify immediately at info@phi-pot.com or by calling +34 623 91 71 69.

2.3. Account Deletion

The User may request the deletion of their account at any time, without prejudice to the retention of data necessary to comply with legal obligations or resolve pending issues.

3.Product Characteristics

3.1. Description

PHI-POT markets proprietary modular pot systems, internationally patented, manufactured with LLDPE (Linear Low-Density Polyethylene), a 100% recyclable material, resistant to impacts, UV rays, and extreme weather conditions. The products are suitable for indoor and outdoor use, withstanding temperatures ranging from -40°C to +50°C.

Intellectual Property: The PHI-POT system is protected by international patents. The reproduction, imitation, or unauthorized commercialization of the product or its components is strictly prohibited. The User only acquires ownership of the purchased units, without rights to the patented technology or design.

3.2. Assembly Instructions

Each product includes access to a specific URL with detailed assembly instructions, video tutorials, and step-by-step guides, accessible via a QR code included in the packaging. Assembly of the modules with each other does not require tools; only the installation of the base requires the use of a screwdriver. Assembly is the sole responsibility of the User.

Assembly Liability: PHI-POT shall not be liable for damages resulting from incorrect, negligent assembly or assembly contrary to the provided instructions. Improper assembly by the User expressly voids the product warranty. In particular, the right of withdrawal shall not apply when the product shows damage caused by manipulation, incorrect assembly, or negligence by the User, regardless of the time elapsed.

3.3. Spare Parts

PHI-POT makes spare components available to customers for replacement of damaged or lost parts. These components are not published on the website; for requests, please contact info@phi-pot.com or call +34 623 91 71 69 during business hours (9:00 AM – 6:00 PM), indicating the model and serial number of the product.

4.Prices and Payment Terms

4.1. Prices

All published prices are expressed in Euros (€) and include Value Added Tax (VAT) applicable in Spain (21%). For international shipments, the final price will be calculated according to the tax legislation of the destination country at the time of purchase.

4.2. Shipping Costs

Shipping costs are automatically calculated during the checkout process based on:

  • Selected product/s (weight and dimensions)
  • Delivery address (postal code and country)
  • Available shipping method for the area

The exact amount will be displayed before order confirmation.

4.3. Payment Methods

The following payment methods are accepted:

  • Credit/debit card (Visa, MasterCard, American Express) via secure gateway
  • PayPal
  • Stripe (cards and alternative methods)
  • Bank transfer (order will be processed after payment confirmation, 1-3 business days)

4.4. Payment Security

Payment data is transmitted via encrypted SSL/TLS protocol directly to payment gateways (Stripe/PayPal). PHI-POT does not store banking card data on its servers.

4.5. Reservations

No reservations or pre-orders are accepted. All orders are processed against available stock..

5.Contracting Process

5.1. Purchase Steps

  1. Product selection and addition to cart
  2. Entry or verification of shipping and billing details
  3. Selection of shipping method (SEUR standard or express)
  4. Review of order summary (products, prices, shipping costs, total)
  5. Selection of payment method and confirmation
  6. Receipt of confirmation by email

5.2. Order Confirmation

Once payment is completed, the User will receive a confirmation email with the order number, item description, total amount, and shipping details. The sales contract is perfected at that moment.

5.3. Availability

If any product is unavailable after the order is placed, the User will be informed by email offering: (a) replacement with a similar product of equal or higher value, (b) waiting until new availability (maximum 30 days), or (c) full refund of the amount paid.

6.Shipping and Delivery

6.1. Shipping Zones

PHI-POT ships to:

  • Mainland Spain and islands: 24-48 business hours (SEUR)
  • Rest of the European Union: 5-25 business days
  • Rest of the world (outside EU): 5-25 business days depending on destination

6.2. Delivery Times

The indicated times are estimates and begin to count from order and payment confirmation. They are not binding and do not constitute agreed delivery with a strict deadline. Weekends and holidays are not counted as business days.

Important: Delays caused by force majeure (strikes, extreme weather conditions, pandemics, customs) do not impute any liability to PHI-POT, although we commit to informing the customer and managing delivery as soon as possible.

6.3. Carriers

For national shipments (Spain) SEUR is used. For international shipments, the carrier is assigned according to destination and availability. The User will receive a tracking number to locate their shipment.

6.4. Delivery and Verification

The customer must inspect the package in the presence of the carrier and note any anomalies on the delivery receipt. Claims for damage without a signed receipt may be limited.

In case of detecting external damage (broken packaging, impacts, moisture):

  1. Note the incident on the carrier’s delivery receipt
  2. Photograph the condition of the package before opening
  3. Contact PHI-POT at info@phi-pot.com or by calling +34 623 91 71 69 during business hours (9:00 AM – 6:00 PM), within a maximum of 24 hours

6.5. Shipping Origin and Customs

PHI-POT operates from two warehouses: Spain (European Union) and China. The shipping origin is assigned based on stock availability and customer location, regardless of whether the destination is Spain, the EU, or third countries. The customer will be informed of the shipping origin in the order confirmation.

For shipments from China or outside the EU:

  • The customer is responsible for paying customs duties, import taxes, and applicable fees in the destination country
  • The customer must comply with the import regulations for plastic products of their country
  • The customer must provide additional documentation required by customs if applicable

PHI-POT is not responsible for customs holds or costs derived from importation.

7.Right of Withdrawal

7.1. Exercise of the Right

In accordance with the General Law for the Defense of Consumers and Users (Royal Legislative Decree 1/2007), the customer has a period of 14 calendar days from receipt of the product to exercise their right of withdrawal without needing to justify the decision.

7.2. Exclusions

The right of withdrawal does not apply to:

  • Unsealed products that cannot be returned for health or hygiene protection reasons
  • Products that have been assembled, used, or damaged by the customer
  • Customized or made-to-order products according to consumer specifications (not applicable to PHI-POT, except for non-standard special orders)

7.3. Return Procedure

To exercise the right of withdrawal, the customer must:

  1. Notify the decision by email to info@phi-pot.com indicating: order number, purchase date, product/s to return, and reason (optional)
  2. Receive authorization and return address
  3. Package the product in its original packaging, unused, with all accessories and documentation
  4. Send the package to the provided address within 14 days following notification

7.4. Return Costs

Direct return costs are borne by the customer. We recommend using a shipping service with tracking. PHI-POT is not responsible for losses during the return transport.

7.5. Refund

Once the returned merchandise is received and verified (in perfect condition), PHI-POT will proceed to refund all payments received (including initial shipping costs) within a maximum period of 14 calendar days, using the same payment method employed for the purchase.

Management Options: PHI-POT offers as the main option the full refund of the amount paid. However, the customer may voluntarily opt for:

  • Exchange for another product: Adjusting for price differences if any
  • Voucher for future purchases: For an amount equivalent to the refund, with no expiration date

These alternatives are voluntary for the customer, who in any case may demand a cash refund

8.Legal Warranty and Defective Products

8.1. Legal Warranty

All PHI-POT products have a legal conformity warranty of 2 years from the date of delivery, in accordance with Spanish and European legislation.

8.2. Defective or Wrong Products

If the product arrives factory defective, damaged during transport (with signed receipt), or does not correspond to the order placed, the customer must contact immediately at info@phi-pot.com or by calling +34 623 91 71 69 during business hours (9:00 AM – 6:00 PM), within 14 days from receipt, providing photographs of the defect and order number.

8.3. Options for Defects

In case of a defective product, PHI-POT will offer the customer:

  • Free replacement of the defective product with a new one (same model)
  • Full refund of the price paid (including shipping costs) if replacement is not possible or the customer prefers it

Collection and reshipping costs will be borne by PHI-POT.

8.4. Warranty Limitations

The warranty does not cover:

  • Defects caused by improper use, negligence, or accident
  • Normal wear and tear from use
  • Damage from exposure to extreme conditions outside the range of -40°C to +50°C
  • Unauthorized modifications or repairs
  • Aesthetic damage that does not affect functionality (minor scratches, sun discoloration)

8.5. Transport Liability

PHI-POT contracts transport insurance for all shipments. However, liability for damage during transport is limited to cases accredited by a signed delivery receipt from the carrier. Without such accreditation, the claim may be limited or denied.

9.Intellectual and Industrial Property

9.1. Website Rights

All content on the Website (texts, images, logos, videos, source code, graphic design) is the property of EIDOPIA S.L., protected by intellectual and industrial property rights.

9.2. PHI-POT Patents and Utility Models

The PHI-POT modular pot system is protected by international patents and/or utility models in force. The following is expressly prohibited:

Violation of these prohibitions will result in legal action for infringement of patents, utility models, and trademarks.

9.3. Permitted Use

The User may share images of their PHI-POT installations on social media citing the brand, provided that such use is not intended to discredit the image of PHI-POT or its products. However, they do not acquire any rights to the design, technology, or know-how incorporated in the products.

11.Liability and Limitations

11.1. PHI-POT Liability

PHI-POT undertakes to deliver products conforming to the description and free from defects. Its liability is limited to the value of the purchased product, without prejudice to the consumer’s unwaivable rights.

11.2. Limitation of Liability

Except in cases of fraud or gross negligence, PHI-POT shall not be liable for:

  • Indirect damages, lost profits, or loss of business
  • Damages resulting from improper use of the product by the customer
  • Damages caused by third parties during transport (without prejudice to claim management)
  • Technological failures of the Website beyond its control

11.3. Website Unavailability

PHI-POT does not guarantee uninterrupted availability of the Website, reserving the right to temporarily suspend access for maintenance or force majeure causes.

12.Force Majeure

Delay or failure to perform under these Terms due to force majeure shall not be considered a breach, including but not limited to: strikes, pandemics, natural disasters, government restrictions, energy or internet supply failures, or any circumstance beyond PHI-POT’s reasonable control.

13.Dispute Resolution

13.1. Applicable Law

These Terms are governed by Spanish law. For consumers residing in the EU, the mandatory consumer protection provisions of their country of residence shall also apply.

13.2. Jurisdiction

In case of dispute, the parties submit to the Courts and Tribunals of Guadalajara (Spain), unless the consumer has their domicile outside Spain, in which case the place of performance of the obligation (Spain) or the consumer’s domicile shall be competent according to applicable regulations.

13.3. ODR Platform

In accordance with Regulation (EU) 524/2013, consumers are informed of the existence of the EU ODR Platform for online dispute resolution: https://ec.europa.eu/consumers/odr

13.4. Mediation

Before initiating any judicial proceedings, the parties undertake to attempt to resolve the dispute through good faith negotiation by contacting info@phi-pot.com or calling +34 623 91 71 69.

14.Final Provisions

14.1. Partial Nullity

If any clause of these Terms is declared null or unenforceable, the remaining clauses shall maintain their validity and effects.

14.2. Communications

All notifications will be made by email to the address provided by the customer or published on the Website. It is the customer’s responsibility to keep their contact details updated.

14.3. Assignment

PHI-POT may assign its rights and obligations under these Terms to third parties in case of merger, acquisition, or corporate reorganization, notifying the customer.
